Unicepay Terms of Service

Welcome to Unicepay. Unicepay provides eligible merchants with cross-border and local online payment technology, international card-network payment systems, collection and payout support, smart routing, risk control, dispute alerts and related operational services. By applying for, accessing or using Unicepay services, you confirm that you have read, understood and agreed to these Terms and will comply with applicable laws, regulations, card-network rules, acquiring-channel rules and agreements in all Unicepay-related activities.

When becoming a Unicepay merchant or using related payment capabilities, your company may also be subject to transaction supervision by Visa, Mastercard, American Express, Discover, JCB, local payment methods, banks, acquirers and regulators. Risky transactions, violations, excessive chargebacks or fraud, infringement, prohibited goods, local-law violations or payment-network compliance programs may lead to channel suspension, remediation, fund freezes or fines. Such actions may be executed or passed through Unicepay, and your company remains responsible for them.

1. Account Registration Rules

  1. Your company must have full legal capacity and authority to accept these Terms and independently assume civil, commercial and compliance responsibility. If not, you must stop registration and service use immediately.
  2. Your company must comply with laws of Hong Kong, mainland China, the merchant location, transaction location, consumer location and any other applicable jurisdiction, and provide true, accurate, current and complete information as requested.
  3. You must not impersonate others, misuse identities, qualifications, websites, brands, licenses, bank accounts or materials, interfere with others use, or evade review through split entities, hidden websites or concealed business content.
  4. You must maintain and promptly update registration data, merchant information, business categories, website content, registered email, phone, settlement information, beneficial-owner information and other important materials. Incorrect, false, outdated, incomplete or materially omitted information may lead to suspension, termination, service refusal and liability for losses, expenses, fees and fines.
  5. Failure to update information cannot be used as a reason to cancel successful transactions, refuse fulfillment or refuse service fees where service interruption, transaction errors, settlement delay, refund failure, chargeback delay, channel rejection or penalties result from that failure.
  6. You are responsible for all operations, instructions, configurations and statements made through accounts, passwords, API keys, certificates, dashboard permissions, callback addresses and other credentials. Accounts may be used only by authorized personnel and must not be transferred, gifted, leased, lent, inherited or provided to unauthorized parties.
  7. When closing an account, you must handle unsettled funds, refunds, chargebacks, disputes, deposits, reserves and pending transactions according to Unicepay procedures. Closure does not affect liabilities, fees, confidentiality and dispute obligations arising before closure.
  8. If your company loses legal capacity, operating qualification or enters dissolution, bankruptcy, liquidation, receivership or restructuring, Unicepay may handle account-related funds and services according to valid legal documents, regulatory requirements, agreements or risk judgment.
  9. You must ensure credentials are used only by authorized operators. Instructions made through valid credentials are deemed authorized by your company. Losses caused by leakage, theft or misuse due to your reasons are your responsibility.
  10. If credentials are misused, stolen, leaked or accessed without authorization, you must notify Unicepay immediately and request suspension. Unicepay needs reasonable time to act; transactions and instructions before valid notice remain effective unless Unicepay intentional misconduct or gross negligence is proven.
  11. For operation, transaction security, compliance and risk-control needs, Unicepay may suspend or terminate accounts, restrict services, refuse new functions or request materials upon detecting abnormal transactions, suspicious activity, legal risk, data anomalies or increased chargeback or fraud risk. Such judgment does not create a duty to detect every abnormal transaction.

2. Account Use Rules

  1. You must publish information and operate lawfully and honestly under laws, card-network rules, acquiring requirements, payment-network rules and Unicepay policies. You must not harm consumers, users, rights holders or third parties through illegal operations, unfair competition, false promotion, misleading advertising, commercial fraud, infringement or hidden business content.
  2. You must truthfully provide merchant materials, qualifications, website information, product or service descriptions, settlement information and legal proof, and fully describe your business scope. Material changes must be notified and updated as requested.
  3. You agree to comply with transaction supervision policies, risk indicators, chargeback and fraud thresholds of card networks, acquirers, local payment methods and payment networks. Fines, fees and losses caused by violations, infringement, excessive chargebacks or fraud, prohibited goods or fake transactions are your responsibility.
  4. You must establish order-processing, shipping, service-delivery, refund, after-sales and dispute procedures according to Unicepay platform and API rules. Physical-goods merchants must keep logistics, delivery, customs and consumer confirmation records; digital or service merchants must keep delivery, access, authorization and usage evidence.
  5. When requested by Unicepay, banks, card networks, acquirers or regulators, you must submit orders, receipts, shipping, service, communications, refunds, authorizations, website pages, advertising materials and other evidence within the required period.
  6. When using Unicepay as an electronic payment service provider, you must not refuse successful transactions without proper reason, maliciously fail to ship or perform, falsely perform, or induce consumers to bypass normal after-sales or dispute procedures.
  7. Without written permission, you must not use payment services for websites, business lines, entities, third-party collection, transaction forwarding, money transfer, cash-out or other purposes not approved. Violations may lead to immediate service suspension, fund freezes, compensation claims and fines under agreements or channel rules.
  8. You must retain transaction materials including orders, receipts, shipping proof, tracking, delivery records, service records, communications, refunds, authorizations and other requested materials for at least five years unless a longer period applies.
  9. If chargeback, fraud, refund, complaint or dispute rates exceed applicable thresholds, you must submit and implement remediation within the requested time and bear fines, reserves, delayed settlement, channel restrictions and other consequences.
  10. For out-of-stock, non-delivery, duplicate orders, cancellations, service failures, pricing errors, inventory errors, logistics exceptions or other refund situations, you must process refunds promptly or initiate refunds through Unicepay systems and bear related responsibilities and risks.
  11. You must not interfere with Unicepay systems, bypass risk control, split transactions, fabricate transactions, alter transaction information, hide real goods or services, induce false dispute evidence or otherwise affect transaction authenticity and security.

3. Proprietary Information and Confidentiality

  1. Unicepay owns or lawfully uses rights in its website, platform, payment systems, APIs, documents, risk models, routing algorithms, data structures, page designs, marks, text, software, images, charts, videos, advertising, emails and other service content.
  2. Without written authorization, you must not copy, repost, excerpt, reconstruct, sell, lease, reverse engineer, publicly display, mirror or create derivative works from Unicepay websites, systems, APIs, documents or content.
  3. Information learned during cooperation, negotiation, review, service, dispute handling and technical integration may be confidential, including fees, settlement methods, API technology, security protocols, certificates, keys, channel configuration, risk rules, customer data, transaction data, business information, plans and agreements.
  4. Both parties and their personnel, agents, advisers and providers must keep cardholder data, payment-account information, transaction information and identity materials confidential and must not disclose, sell or misuse them for card theft, impersonation or fraud.
  5. Neither party may disclose the other party confidential information without prior written consent, except where necessary for agreement performance, service provision, regulatory compliance, audit, legal advice, dispute resolution or competent authority requirements. Recipients must be bound by confidentiality obligations.
  6. Confidentiality survives invalidity, termination, completion or impracticability of agreements. Breach may lead to injunctive relief, remediation, compensation and unilateral termination.

4. Breach Liability and Limitation of Liability

  1. A party breaching these Terms, agreements, channel rules, regulatory requirements or law must compensate losses including actual loss, investigation costs, legal fees, arbitration or litigation costs, preservation and enforcement costs, fines, third-party claims and reasonable mitigation expenses.
  2. Unicepay is not liable, to the extent permitted by law, for service interruption, transaction failure, settlement delay, data delay or non-performance caused by merchants, consumers, banks, telecoms, networks, equipment, power, third-party services, payment channels, regulatory measures, force majeure or causes beyond Unicepay reasonable control.
  3. Services provided by Unicepay to consumers, users or third parties in relation to merchant transactions form part of Unicepay service to the merchant and do not create an independent commitment to those consumers, users or third parties unless separately agreed in writing.
  4. Unicepay is not liable for business loss, lost profits, goodwill loss, expected revenue loss, indirect data loss, special loss or consequential loss, except where mandatory law provides otherwise.
  5. To the extent permitted by law, Unicepay aggregate liability is capped at the gross service-fee margin actually paid by your company for the relevant service in the twelve months before the liability event, except for intentional misconduct, gross negligence, mandatory liability or separate written agreement.
  6. Chargeback fines, fraud fines, GBPP, BRAM, VFMP, VDMP, EFM, compliance programs, network assessments, bank penalties, account freezes, rolling reserves and other risk measures follow card-network, bank, channel and master-agreement rules.
  7. Your company must hold Unicepay harmless from third-party claims, regulatory penalties and losses caused by your operations, goods, services, websites, advertising, fulfillment, infringement, illegality, fraud, chargebacks, complaints or data processing.

5. Restricted Activities

When using Unicepay services, you must not engage in or assist any of the following:

  1. Violating these Terms, service agreements, merchant agreements, channel rules or any other agreement with Unicepay.
  2. Violating applicable laws, regulations, regulatory requirements, payment-network rules or industry standards.
  3. Infringing Unicepay or third-party copyright, patents, trademarks, trade secrets, portrait rights, privacy rights, data rights or other lawful rights.
  4. Selling, promoting or processing counterfeit, infringing, prohibited, high-risk, fraudulent, false, misleading or unapproved goods or services.
  5. Acting in a defamatory, commercially disparaging, threatening, harassing, coercive, deceptive or unfairly competitive manner.
  6. Providing false, inaccurate, incomplete, outdated or misleading information, materials, websites, transactions or proof.
  7. Engaging in fraud, suspicious activity, fake transactions, cash-out, money laundering, terrorist financing, sanctions evasion, fund transfer, collection for third parties or unapproved third-party transactions.
  8. Causing complaints, claims, penalties or disputes against Unicepay by consumers, users, banks, card networks, regulators, partners or third parties.
  9. Taking actions that may cause Unicepay to lose or have restricted access to internet service, payment processors, banks, acquirers, card networks, local payment methods, cloud providers or other suppliers.
  10. Harassing, threatening, attacking, inducing, bribing or improperly influencing Unicepay employees, agents, partners, reviewers or users.
  11. Disclosing, selling, distributing or marketing information of users, consumers, cardholders, merchants or partners without explicit consent.
  12. Copying, reproducing, communicating, changing, modifying, creating derivative works from, publicly displaying or applying Unicepay website, system, document, API or service content without written consent.
  13. Connecting, selling, displaying or processing prohibited or restricted categories without approval, or evading category review through website, product-description or transaction-path changes.

6. Termination

Unicepay may suspend, restrict or terminate services, close or freeze accounts, suspend settlement, retain reserves, request remediation or pursue liability if any of the following occurs:

  1. You violate these Terms, agreement terms, channel rules, compliance requirements or service conditions.
  2. You engage in any restricted activity, or reasonable suspicion exists.
  3. You violate laws, regulations, sanctions, AML or counter-terrorist-financing requirements of any jurisdiction.
  4. You enter dissolution, deregistration, bankruptcy, liquidation, suspension, license revocation, regulatory penalty, judicial measure or serious operational deterioration.
  5. Your information is false, you refuse due diligence or remediation, or your transaction risk, chargebacks, fraud, complaints, infringement, public-opinion or regulatory risk becomes unacceptable.
  6. Banks, card networks, acquirers, local payment methods, regulators or partners require suspension, restriction or termination.
  7. Other circumstances where Unicepay reasonably considers limitation or termination necessary for transaction security, compliance, system safety, business risk or service operation.

Termination does not affect transactions, fees, settlement, refunds, chargebacks, disputes, fines, confidentiality, compensation, audits, record retention or compliance obligations arising before termination.

7. Force Majeure

  1. Force majeure means objective circumstances occurring after these Terms take effect that the affected party cannot foresee, avoid or overcome, including flood, fire, drought, typhoon, earthquake, epidemic, strike, riot, war, terrorism, government action, regulatory change or similar events.
  2. Given the nature of internet and payment networks, force majeure also includes hacking, malicious cyberattacks, viruses or malicious code not preventable by reasonable security measures, major new vulnerabilities, communication failures, power failures, cloud service failures, bank or card-network incidents and payment-channel abnormalities caused externally.
  3. If force majeure prevents full or partial performance, the affected party may be partly or fully exempted within the affected scope, but should notify the other party and use reasonable efforts to reduce losses and resume performance.
  4. After force majeure occurs, the parties should discuss continued performance, delay, partial performance, alternatives or temporary arrangements. If the event and impact continue for a long period and the agreement purpose cannot be achieved, the parties may discuss termination of relevant services or agreements.
